Billing Terms & Conditions

How AMLTranche SaaS subscriptions are priced, billed, changed and cancelled.

Read together with the Terms of Service. These Billing Terms explain how AMLTranche subscription fees, included identity-verification checks, additional usage, setup fees, payment, cancellation and billing queries work. They apply to AMLTranche's SaaS platform subscriptions and associated software services. Read them together with the AMLTranche Terms of Service. If there is an inconsistency about pricing, billing, payment, plan changes, renewal, cancellation, refunds or billing disputes, these Billing Terms prevail. 1. About these terms

1.1Provider. AMLTranche is operated by Virya Technology Pty Ltd (ABN 90 670 925 238), trading as AMLTranche (AMLTranche, we, us or our).

1.2SaaS subscriptions only. These Billing Terms apply to AMLTranche's SaaS subscriptions and associated platform services only. Implementation, data migration, bespoke configuration, training, consulting, managed AML/CTF services, managed CDD services and other professional services are supplied only where separately agreed in writing.

1.3Australian Consumer Law. Nothing in these Billing Terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded under the Australian Consumer Law or another applicable law.

2. Your plan and proposal

2.1Plans. AMLTranche offers subscription plans, which may include Solo, Boutique, Team and Custom plans. Plan availability, pricing, included users, included identity-verification checks and features may change from time to time.

2.2Accepted Proposal. Your Accepted Proposal means the proposal, quote or pricing email sent by AMLTranche that you accept. It confirms your selected Plan, subscription fee, included identity-verification allowance, any one-off setup fee, and any special pricing or agreed variation. If your Accepted Proposal differs from these Billing Terms, your Accepted Proposal applies to the extent of that difference.

2.3Alternative billing arrangements. AMLTranche may, at its discretion, agree an alternative billing arrangement with a customer in writing. An alternative billing arrangement may include usage-based or pay-as-you-go pricing. It is available only where AMLTranche has specifically offered and agreed it with that customer. The Accepted Proposal or other written agreement will state the applicable fee, what triggers the charge, what is included, and when the charge will be billed. Unless the Accepted Proposal or other written agreement states otherwise, usage-based charges are billed through Stripe monthly in arrears.

3. Subscription fees and GST

3.1Fees. Your subscription fee is the amount stated in your Accepted Proposal or, if you subscribe online, the amount shown at the time of sign-up. All fees are in Australian dollars and are exclusive of GST unless we state otherwise. GST is added to applicable invoices.

3.2Monthly subscriptions. Monthly subscription fees are charged in advance at the beginning of each monthly Billing Cycle.

3.3Annual subscriptions. Where you agree to annual billing, the annual subscription fee is charged in advance for the full annual Billing Cycle. Unless required by law or expressly agreed otherwise, annual subscription fees are not refundable if you cancel part way through the annual Billing Cycle.

3.4Setup and installation fees. We may charge a one-off installation, setup, onboarding or configuration fee where this is stated in your Accepted Proposal. A setup fee is charged once and is payable in accordance with the payment terms shown in your Accepted Proposal or Stripe invoice. Setup fees are not refundable once the relevant setup work has commenced, except where required by law.

4. Included and additional identity verification checks

4.1Included identity-verification allowance. Your Plan includes the number of electronic identity-verification checks (IDVs) stated in your Accepted Proposal. For monthly subscriptions, the included IDV allowance applies to each monthly Billing Cycle. Unused included IDVs do not roll over into the next Billing Cycle unless your Accepted Proposal says otherwise. For annual subscriptions, your Accepted Proposal will state whether IDVs are allocated monthly or made available as an annual pool.

4.2What counts as an IDV. An IDV is an identity-verification request submitted through AMLTranche and processed by the relevant identity-verification provider. An IDV counts whether the result is verified, rejected, failed or inconclusive, where the provider has processed the request and charged AMLTranche for that request. An IDV does not count where:

4.3Additional IDVs. If you use more IDVs than your included allowance, additional IDVs are charged at $10 plus GST per IDV, unless your Accepted Proposal states a different rate. Additional IDVs are billed in arrears through Stripe, generally on your next subscription invoice or shortly after the usage occurs.

4.4Additional paid services. AMLTranche may offer optional services that are not included in a customer's Plan. These may include additional features, integrations, verification services, registry or company searches, reliance functionality, screening, monitoring, messaging or other services. Before a customer uses an optional paid service, AMLTranche will notify the customer of the applicable price, charging basis and any relevant conditions. This may be done in an Accepted Proposal, email or other written communication, or through a notice or confirmation prompt in the Platform. By accepting the written offer, enabling the service, or selecting the confirmation option in the Platform and submitting or using the service, the customer authorises AMLTranche to charge the disclosed fee. AMLTranche will not charge a customer for an optional paid service unless the applicable price and charging basis have been disclosed before the service is used or enabled.

5. Payment through Stripe

5.1Payment method. You must provide and maintain a valid payment method through Stripe. You authorise AMLTranche and Stripe to charge your nominated payment method for subscription fees, setup fees, additional IDVs, usage-based charges, optional paid services and other amounts payable under your Accepted Proposal or these Billing Terms.

5.2Invoices and receipts. Our payment service provider will provide invoices and payment receipts to the billing email address nominated by you. You are responsible for keeping that email address and payment method current.

5.3Failed payments. If a payment fails, we may notify you by email and the payment provider may retry the payment method. If payment remains overdue for more than 14 days after we notify you, we may restrict or suspend access to the Platform until the outstanding amount is paid. Where reasonably practicable, we will give you notice before suspension.

6. Plan changes

6.1Upgrades. You may request an upgrade to your Plan by emailing billing@amltranche.com.au or by using an upgrade option in the Platform, where available. AMLTranche will aim to process your request within 5 Business Days. An upgrade takes effect only when AMLTranche confirms it by email. If the upgrade takes effect during a Billing Cycle, AMLTranche may charge a pro-rata amount for the higher Plan for the remainder of that Billing Cycle. The applicable pro-rata amount will be shown in the confirmation email or Stripe invoice.

6.2Downgrades. You may request a downgrade at any time. A downgrade takes effect from the beginning of the next Billing Cycle unless we agree otherwise in writing. You remain responsible for fees under your current Plan until the downgrade takes effect.

7. Cancellation

7.1How to cancel. You may cancel your subscription by emailing billing@amltranche.com.au from your nominated billing contact or another authorised account contact. Your cancellation request must identify your organisation and the subscription you wish to cancel. AMLTranche will confirm the cancellation by email.

7.2When cancellation takes effect. Cancellation takes effect at the end of the current Billing Cycle. You retain access to the Platform until then. You remain responsible for all subscription fees and usage charges incurred up to the end of the current Billing Cycle. Fees already paid for the current Billing Cycle are not refundable, except where required by law or where AMLTranche agrees otherwise in writing.

7.3End of subscription access. After cancellation takes effect, your access and data-export rights are dealt with under the AMLTranche Terms of Service.

8. Refunds and billing queries

8.1Refunds. Except as required by law, subscription fees, setup fees, unused included IDVs and annual prepayments are not refundable. We may provide a credit or refund where we have charged you in error, including where an IDV has been charged twice or where AMLTranche confirms a request could not be processed because of a fault in the Platform.

8.2Billing queries. If you believe an invoice or charge is incorrect, email billing@amltranche.com.au within 30 days of the invoice date. Include the invoice number and the charge you are querying. We will review the query and aim to respond within 15 Business Days. You must pay any undisputed amount by its due date. We will not suspend Platform access solely because you have raised a genuine billing query while we are reviewing it.

9. Changes to pricing or these terms

9.1Changes to pricing. We may change our Plans, fees, included IDV allowances or other billing terms from time to time. For an existing customer, we will give at least 30 days' notice before a change that increases the customer's subscription price, reduces its included IDV allowance, or is otherwise materially adverse to the customer. For annual subscriptions, a price change will apply from the next annual renewal unless we agree otherwise or the law requires a different outcome.

9.2Right to cancel. If you do not accept a materially adverse change, you may cancel your subscription before the change takes effect. If you have paid fees in advance for a period after cancellation takes effect, we will refund the unused prepaid amount for that future period.

9.3Other changes. Changes that are neutral or favourable to you, introduce a new optional service, or are required by law may take effect when published or notified to you.

10. General

10.1Notices. We may send billing notices to the billing email address you provide. You must keep that address current.

10.2Governing law. These Billing Terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria and courts entitled to hear appeals from them.
